Schellenberg Wittmer acted as Swiss counsel to Zurich-based Teylor AG (Teylor) on its cooperation with Taurus SA (Taurus) regarding the issuance of privately placed structured notes (the Notes) to be used to finance SME private debt.
The Notes shall be issued via an issuance vehicle incorporated in Luxembourg in the form of ledger-based instruments in the sense of the Swiss Code of Obligations and they shall be recorded in a blockchain-based register maintained by the Swiss-law governed TDX OTF technological platform (the Platform) that is operated by Taurus. It is intended that the noteholders shall, via the services of the Platform, be registered in the blockchain-based register. The Notes shall be available in the primary market only to professional investors and they shall be traded on TDX, acting as provider of a liquid secondary market for private debt investments on a regulated institutional-grade blockchain infrastructure.
